About Our Client

Our client is a leading international company operating in a specialized technical construction sector.

Job Description

Key reponsabilities:

    • Lead and support corporate legal matters across multiple jurisdictions, ensuring alignment with business objectives and regulatory requirements.
    • Structure, negotiate and manage joint ventures, strategic partnerships and consortium arrangements.
    • Draft, review and negotiate shareholder agreements, investment agreements, governance documents and related corporate arrangements.
    • Act as legal advisor on corporate transactions, restructurings, acquisitions, disposals and entity management activities.
    • Serve as key legal contact for board governance matters and company secretarial activities across various group entities.
    • Support the creation, maintenance and governance of international holding structures and special purpose vehicles.
    • Advise senior management on corporate governance, decision-making processes and directors' responsibilities.
    • Coordinate external counsel across different jurisdictions and ensure consistency of legal positions globally.
    • Identify legal and commercial risks associated with strategic projects and propose practical mitigation solutions.
    • Provide legal support for large-scale infrastructure or development projects involving multiple stakeholders, investors, contractors and strategic partners.
    • Contribute to the development and implementation of legal policies, governance frameworks and best practices across the group.
    • Partner closely with business, finance, project development and executive leadership teams on strategic initiatives.

The Successful Applicant

Successful candidate:

    • Qualified lawyer with approximately 5-8 years of post-qualification experience gained in a leading international law firm and/or an in-house legal department.
    • Strong expertise in corporate law, corporate governance, joint ventures, shareholder agreements and corporate structuring.
    • Demonstrated experience working on cross-border and multi-jurisdictional matters.
    • Experience acting as Company Secretary or supporting boards and governance structures is highly desirable.
    • Exposure to holding company structures, SPVs and complex ownership arrangements.
    • Strong transaction management and stakeholder management capabilities.
    • Commercially minded, pragmatic and able to balance legal risk with business objectives.
    • Excellent drafting and negotiation skills in English.
    • Ability to work autonomously while managing multiple projects in a fast-paced international environment
